Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and TechnoRealism, Inc., a New York corporation ("Company," "we," "us," "our"), governing your access to and use of the Web3 Identity API, related websites, documentation, and services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to all terms, do not use the Service. Your continued use constitutes acceptance of any modifications to these Terms.


1. Definitionsโ€‹

  • "API" means the Web3 Identity application programming interface and related endpoints
  • "API Key" means a unique identifier issued to authenticate your API requests
  • "Content" means all data, text, information, and materials available through the Service
  • "Free Tier" means access without payment, subject to rate limits
  • "Paid Services" means services requiring payment via x402, API key credits, or other methods
  • "User Application" means any software, website, or service you build using our API
  • "Wallet" means a cryptocurrency wallet address used to interact with the Service

2. Eligibility & Account Requirementsโ€‹

2.1 Age Requirementโ€‹

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

You represent that you have the legal authority to enter into these Terms, whether individually or on behalf of an organization.

2.3 Prohibited Jurisdictionsโ€‹

You may not use the Service if you are located in, or a resident of, any jurisdiction where such use would violate applicable law or where we are prohibited from offering services. This includes, but is not limited to, sanctioned countries under U.S. OFAC regulations.

2.4 Account Securityโ€‹

You are solely responsible for:

  • Maintaining the confidentiality of your API keys and wallet credentials
  • All activities that occur under your account or API keys
  • Immediately notifying us of any unauthorized use

We are not liable for any loss arising from unauthorized access to your account.


3. Service Descriptionโ€‹

3.1 What We Provideโ€‹

The Service provides API access to aggregated blockchain data, including but not limited to:

  • ENS (Ethereum Name Service) resolution and records
  • Wallet balances and transaction data
  • DeFi protocol information
  • Token prices and market data
  • Social graph data (Farcaster, Lens, etc.)

3.2 Third-Party Dataโ€‹

The Service aggregates data from third-party sources and public blockchains. We do not control, verify, or guarantee the accuracy of third-party data. Sources may include CoinGecko, DefiLlama, Alchemy, The Graph, and others.

3.3 No Professional Adviceโ€‹

The Service provides raw data only. Nothing in the Service constitutes financial, investment, legal, tax, or professional advice. You are solely responsible for any decisions made based on Service data.


4. Acceptable Use Policyโ€‹

4.1 Permitted Usesโ€‹

You may use the Service to:

  • Build applications that consume API data
  • Display data to your users with proper attribution
  • Perform research and analysis
  • Any lawful purpose consistent with these Terms

4.2 Prohibited Usesโ€‹

You agree NOT to:

Technical Abuse:

  • Exceed rate limits or circumvent usage restrictions
  • Use multiple accounts/IPs to evade limits
  • Reverse engineer, decompile, or disassemble the Service
  • Attempt to gain unauthorized access to our systems
  • Introduce malware, viruses, or harmful code
  • Conduct denial-of-service attacks or load testing without permission

Content Misuse:

  • Misrepresent data as your own without attribution
  • Use data to create competing API services
  • Redistribute raw API data in bulk
  • Scrape or cache data beyond reasonable application needs

Legal Violations:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Facilitate money laundering, fraud, or financial crimes
  • Violate sanctions or export control laws

Harmful Activities:

  • Harass, abuse, or harm others
  • Spread misinformation using our data
  • Use the Service to make automated trading decisions without proper safeguards
  • Create applications that could cause financial harm to users

4.3 Enforcementโ€‹

Violation of this Acceptable Use Policy may result in:

  • Immediate suspension or termination of access
  • Forfeiture of any prepaid credits (no refunds)
  • Legal action to recover damages
  • Reporting to law enforcement if warranted

5. Pricing, Payments & Refundsโ€‹

5.1 Free Tierโ€‹

We offer a free tier with limited requests per day. The free tier:

  • May be modified, reduced, or eliminated at any time
  • Includes no service level guarantees
  • Is subject to aggressive rate limiting

5.2 x402 Paymentsโ€‹

Certain endpoints require payment via the x402 protocol (USDC on Base network). By making an x402 payment:

  • You authorize the transaction via your wallet signature
  • Payment is processed by third-party facilitators (e.g., Coinbase CDP)
  • All payments are final and non-refundable once the request is served

5.3 API Key Creditsโ€‹

Prepaid API key credits:

  • Must be purchased in advance
  • Expire 12 months from purchase unless otherwise stated
  • Are non-refundable and non-transferable
  • May not be redeemed for cash

5.4 Price Changesโ€‹

We may change pricing at any time. Price increases for existing paid users will be communicated with 30 days notice. Continued use after price changes constitutes acceptance.

5.5 No Refundsโ€‹

All payments are non-refundable except where required by law. This includes:

  • x402 micropayments
  • API key credits
  • Subscription fees
  • Any prepaid amounts

If you are dissatisfied, your sole remedy is to stop using the Service.


6. Intellectual Propertyโ€‹

6.1 Our Ownershipโ€‹

We retain all rights, title, and interest in:

  • The Service, API, and underlying technology
  • Our trademarks, logos, and branding (including "Minting Coinsยฎ")
  • Documentation, code samples, and original content
  • Aggregation methods, algorithms, and data structures

6.2 Your Ownershipโ€‹

You retain ownership of:

  • Your User Applications
  • Your original content and code
  • Data you submit to the Service

6.3 License to Use Serviceโ€‹

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

6.4 License to Your Feedbackโ€‹

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

6.5 Attribution Requirementsโ€‹

When displaying data from our API, you must:

  • Not misrepresent the data source
  • Include attribution where reasonably practical (e.g., "Data from Web3 Identity API")
  • Not imply endorsement by us or our data sources

7. Disclaimers & Warrantiesโ€‹

AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

7.1 No Warrantiesโ€‹

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Merchantability โ€” fitness for a particular purpose
  • Accuracy โ€” correctness, completeness, or timeliness of data
  • Availability โ€” uninterrupted or error-free operation
  • Security โ€” freedom from vulnerabilities or breaches
  • Non-infringement โ€” that the Service doesn't infringe third-party rights

7.2 Data Accuracy Disclaimerโ€‹

API data is provided for informational purposes only. We make no representations regarding:

  • Accuracy of blockchain data, prices, or balances
  • Timeliness of updates or real-time accuracy
  • Completeness of ENS records or social profiles
  • Reliability of third-party data sources

You must independently verify any data before relying on it for financial, legal, or other important decisions.

7.3 Third-Party Servicesโ€‹

The Service integrates with third-party services (wallets, blockchains, data providers). We are not responsible for:

  • Third-party service availability or performance
  • Third-party terms, policies, or practices
  • Data accuracy from third-party sources
  • Any losses resulting from third-party failures

7.4 Blockchain Risksโ€‹

You acknowledge that blockchain technology involves inherent risks, including:

  • Transaction irreversibility
  • Smart contract vulnerabilities
  • Network congestion and delays
  • Regulatory uncertainty
  • Wallet security risks

We are not liable for any blockchain-related losses.


8. Limitation of Liabilityโ€‹

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8.1 Exclusion of Damagesโ€‹

We shall NOT be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Damages from unauthorized access or data breaches
  • Damages from service interruptions or errors

8.2 Basis of the Bargainโ€‹

These limitations apply regardless of:

  • The legal theory (contract, tort, strict liability, etc.)
  • Whether we were advised of the possibility of such damages
  • Whether the remedy fails of its essential purpose

The limitations reflect the allocation of risk and are an essential basis of the bargain.

8.3 Jurisdictional Limitationsโ€‹

Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the minimum extent permitted by law.


9. Indemnificationโ€‹

9.1 Your Indemnification Obligationโ€‹

You agree to indemnify, defend, and hold harmless TechnoRealism, Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your User Applications or services built with our API
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any claim that your User Application caused damage to a third party
  • Your negligence or willful misconduct

9.2 Indemnification Procedureโ€‹

We will provide reasonable notice of any claim and allow you to assume defense (with counsel acceptable to us). We may participate in the defense at our expense. You may not settle any claim without our written consent.


10. Dispute Resolutionโ€‹

10.1 Informal Resolutionโ€‹

Before filing any formal dispute, you agree to contact us at support@web3identity.com and attempt to resolve the dispute informally for at least 30 days.

10.2 Binding Arbitrationโ€‹

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be:

  • Conducted in Rochester, New York (or remotely at arbitrator's discretion)
  • Decided by a single arbitrator
  • Conducted in English
  • Confidential

The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiverโ€‹

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. The arbitrator may not consolidate claims or preside over any class proceeding.

10.4 Exceptionsโ€‹

Notwithstanding the above, either party may:

  • Seek injunctive relief in court for intellectual property infringement
  • Bring claims in small claims court (if eligible)
  • Report violations to law enforcement or regulatory agencies

10.5 Governing Lawโ€‹

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. For matters not subject to arbitration, exclusive jurisdiction lies in the state and federal courts of Monroe County, New York.


11. Term & Terminationโ€‹

11.1 Termโ€‹

These Terms are effective upon your first use of the Service and continue until terminated.

11.2 Termination by Youโ€‹

You may stop using the Service at any time. To close an API key account, contact support.

11.3 Termination by Usโ€‹

We may suspend or terminate your access immediately, without notice, for any reason, including:

  • Violation of these Terms or Acceptable Use Policy
  • Suspected fraud or illegal activity
  • Extended period of inactivity
  • Request by law enforcement
  • Discontinuation of the Service
  • Any other reason at our sole discretion

11.4 Effect of Terminationโ€‹

Upon termination:

  • Your license to use the Service immediately ends
  • You must cease all use of the API
  • Any prepaid credits are forfeited (no refunds)
  • We may delete your data after a reasonable period
  • Provisions that should survive (indemnification, limitation of liability, dispute resolution) remain in effect

11.5 Service Discontinuationโ€‹

We may discontinue the Service entirely at any time. We will endeavor to provide 30 days notice, but are not obligated to do so.


12. Modifications to Termsโ€‹

12.1 Right to Modifyโ€‹

We may modify these Terms at any time by posting the revised Terms on our website. Changes are effective immediately upon posting.

12.2 Notificationโ€‹

For material changes, we will endeavor to notify users via:

  • Email (if you've provided one)
  • Announcement on our website or documentation
  • API response headers

12.3 Acceptanceโ€‹

Your continued use of the Service after changes constitutes acceptance. If you disagree with changes, your sole remedy is to stop using the Service.


13. General Provisionsโ€‹

13.1 Entire Agreementโ€‹

These Terms, together with our Privacy Policy, Support Policy, and SLA, constitute the entire agreement between you and us regarding the Service.

13.2 Severabilityโ€‹

If any provision is found unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary.

13.3 Waiverโ€‹

Our failure to enforce any right or provision is not a waiver of that right or provision.

13.4 Assignmentโ€‹

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

13.5 No Third-Party Beneficiariesโ€‹

These Terms do not create any third-party beneficiary rights.

13.6 Force Majeureโ€‹

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or third-party service outages.

13.7 Export Complianceโ€‹

You agree to comply with all applicable export and import laws. You may not use the Service in violation of U.S. export controls or sanctions.
